By accessing and using this LIPS Corporation (“LIPS”) website and its materials, you acknowledge and agree to adhere to the Terms of Service and the Terms of Use. Additionally, by placing a request to purchase a product or subscribing to information on this LIPS website, you agree to the specified sale conditions.
2. Products
The description and specification of products on this website are approximate, and LIPS reserves the right to make changes without notice that do not materially affect the quality or performance of the products.
LIPS may rectify any errors on this website or withdraw any product at any time without incurring liability. Price and availability are also subject to change without notice and liability.
3. Ordering Products
You can order products from the website by submitting a completed order form through the checkout procedure. LIPS will confirm the acceptance of your order by email, and the sending of the email constitutes the contract between you and LIPS.
All offers on this website are without obligation concerning price (until an order is placed), delivery times, and the possibility of delivery.
On export orders, duties and documentation fees will apply. These will be charged additionally, and customs clearance will be your responsibility.
4. Shipping and Delivery
LIPS will arrange the delivery of the products to the address specified in the checkout procedure. The time for delivery is not essential to the contract between you and LIPS.
Shipping terms are EXW — title and risk of loss pass to you once LIPS delivers the product to the carrier. LIPS will arrange payment for shipping with the carrier, but such costs are your responsibility and will be charged to your credit card upon shipment. Delivery times are estimates only, and LIPS shall not be liable for delays. LIPS can accept orders from and ship orders to a select list of countries.
If you do not take delivery of the products or do not provide adequate delivery instructions, LIPS may cancel your order and retain the products. In this case, you will be refunded the price of the products, but you will still be liable for any delivery charges.
If there is an error or any other delivery problem regarding the ordered products, you must notify LIPS in writing within 14 days after the delivery date. LIPS will not be liable for any loss or damage if you fail to do this.
5. Returns and Cancellations
All orders and sale items (including hardware products and software license merchandise) are final and non-refundable without special circumstances stated in this policy.
All software license merchandise (SDK/Middleware/Application) sale items are final and non-exchangeable and non-replacementable.
LIPS will only accept a returned hardware product with a manufacturing defect. LIPS is only responsible for damages caused during the manufacturing process.
LIPS will process a Return Material Authorization Policy (RMA) to return the defective items and provide you with a replacement within the 12-month warranty period.
LIPS warrants the hardware for 12 months from the date of shipment. If the hardware product becomes defective outside of the warranty period, an RMA will not be issued. This warranty and return policy only applies to hardware products sold on LIPS eStore.
To determine warranty status, LIPS will send you a form and require the following information be provided: failure description, serial/part number, and date code (if applicable).
Please return all damaged hardware product items within 14 days with a recommended tracking #. Unfortunately, LIPS cannot refund shipping and handling fees and you are responsible for re-shipping fees as well.
6. Liability
LIPS is not liable for any damages whatsoever, in any form whatsoever, whether they are direct or indirect, resulting from the use or unsuitability of what LIPS has delivered.
7. Pricing
Prices listed on this website are in U.S. dollars and some international currencies and are subject to change without notice. Prices do not include charges for shipping and sales and use tax.
LIPS does not guarantee any prices listed on other websites or price engines.
8. Payment
LIPS website accepts payment via a third-party service, chosen for its effectiveness for using payment cards issued from outside the U.S. LIPS do not accept cash, checks, money orders, or purchase orders.
By submitting your order for processing, you authorize payment processor of LIPS to charge your order (including taxes, shipping, and any amounts described on the site before order submission) to your payment card. If your card cannot be verified, is invalid, or is not otherwise acceptable, your order may be suspended or canceled automatically without notice.
9. Customer is Responsible for Duties and Taxes
Your order may be subject to import duties and taxes, levied once a shipment reaches your country, and may also be subject to withholding tax obligations. Any additional charges for customs clearance are not reflected in prices and must be paid directly by you. LIPS has no control over these charges and cannot predict what they may be. Customs policies vary widely from country to country; you should contact your local customs office for further information.
Refusing the package may result in customs and brokerage fees being assessed against LIPS. These fees will be deducted from your refund.
Additionally, when ordering from this LIPS website, you are considered the importer of record and must comply with all laws and regulations of the country in which you are receiving the products. If you are subject to withholding tax obligations, LIPS expects you to comply and provide the information necessary to secure the appropriate credit to your account.
10. Geography of Record
All sales shall be deemed to be made under the laws of TAIWAN (R.O.C.), regardless of the location of the Customer.
11. Manufacturer License Agreements
You are required to adhere to all license provisions or end-user agreements set forth by the manufacturer or publisher of any software available for purchase. These licenses may be presented in shrink-wrap or click-to-accept form.
12. Force Majeure
LIPS shall not be held responsible for damages or delays resulting from any force majeure events, including but not limited to labor disputes, supply shortages, fires, earthquakes, floods, acts of God, and other actions beyond reasonable control of LIPS, both governmental and otherwise, such as wars, riots, seizures, and embargoes. The time for the performance of obligations by LIPS is extended for a duration equal to the force majeure event.

LIPS reserves the right to revise these terms and conditions at any time, for any or no reason, and without notice, by updating this website. By placing an order, you agree that if any of these terms and conditions are found unlawful or unenforceable, the remainder of these terms will continue in full force and effect.
